Crossingz’ Terms of Service and other policies and rules are a legal agreement (“Agreement”) between Crossingz’ users (you), and Crossingz. As soon as you, the user, start using Crossingz, you and Crossingz have entered this legal agreement, and by default, you agree to abide by the terms of this contract. If you do not agree to Crossingz Terms & Conditions or to the Agreement, you are not authorized to access or use Crossingz in any way.
Description of Crossingz

Crossingz is a social media platform for professional networking. This means Crossingz connects users together, including functionalities such as messaging, organizing and joining events and posting user content. Crossingz is not included in nor liable for any agreement or transactions between users of our platform. We facilitate communication and events that may or may not occur. Users also agree to and must abide by the terms and conditions of any third party application Crossingz uses, and therefore serves our users. In addition, Crossingz does not create or sell items that are for sale on the Crossingz app, and Crossingz is not responsible for any claims, assurances, videos, descriptions, or otherwise, of items posted or advertised, including for sale on our site. 

Requirements of use of Crossingz

You must be at least 18 years old in order to use Crossingz in any capacity, including any use of the application. By using the app in any capacity, you acknowledge and represent that you are at least 18 years old. If you are not 18 years old, or you do not agree with Crossingz Terms of Service, you must not use Crossingz’ Services in any form.

User Content
Definition
"User Content" refers to any content, including but not limited to text, photos, videos, audio, and other materials, that users upload, post, or otherwise make available through our app.
Ownership
Users retain ownership of all User Content they submit to the app. By posting User Content, you represent that you own or have the necessary permissions to use and authorize the use of your User Content as described herein.
Permissions Granted to Crossingz
License to Use
By submitting User Content to Crossingz, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the services provided by Crossingz and its successors and affiliates. This includes, without limitation, promoting and redistributing part or all of the app in any media formats and through any media channels.
Duration of License
This license will last for as long as your User Content is available on the app and for a commercially reasonable time thereafter.
User Responsibilities
Accuracy and Lawfulness
You are responsible for ensuring that your User Content does not violate any laws or the rights of any third party. You represent and warrant that your User Content is accurate, not confidential, and not in violation of any contractual restrictions or other third-party rights.
Crossingz has the right to moderate content on the App, but we are not obligated to do so. Crossingz reserves the right to take action against users who violate these terms (via a ban). Crossingz reserves the right to delete content without notice if it violates these rules; We will also cooperate with any government organizations, including law enforcement, if users break the law. If you become aware of any user breaking the law or these terms, please contact us at info@crossingz.io. Crossingz is not responsible for the accuracy, safety, or intellectual property rights of user content.

By agreeing to these terms, you agree to resolve any issue between you and Crossingz outside of course (not in court) via binding, individual arbitration, with limited exception. If you reside in a jurisdiction that prohibits arbitration of disputes, this agreement does not apply to you. 
User content
We do not own any data, information or material (collectively, “Content” or “user content”) that you submit on the Services in the course of using the Service. You have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all submitted Content. We may monitor and review the Content on the Services submitted or created using our Services by you. You grant us permission to access, copy, distribute, store, transmit, reformat, display and perform the Content of your user account solely as required for the purpose of providing the Services to you. Without limiting any of those representations or warranties, we have the right, though not the obligation, to, in our own sole discretion, refuse or remove any Content that, in our reasonable opinion, violates any of our policies or is in any way harmful or objectionable. You also grant us the license to use, reproduce, adapt, modify, publish or distribute the Content created by you or stored in your user account for commercial, marketing or any similar purpose.
Third party services
If you decide to link to, enable, access or use third party services, including other social media accounts be advised that your access and use of such other services are governed solely by the terms and conditions of such other services, and we are not responsible or liable for, and make no representations as to any aspect of such other services, including, without limitation, their content or the manner in which they handle data (including your data) or any interaction between you and the provider of such other services. You irrevocably waive any claim against Crossingz for such other services. We not liable for any damage or loss caused or alleged to be caused by or in connection with your enablement, access or use of any such other services, or your reliance on the privacy practices, data security processes or other policies of such other services. You may be required to register for or log into such other services on their respective platforms. By enabling any other services, you are expressly permitting Crossingz to disclose your data as necessary to facilitate the use or enablement of such other service.
Prohibited Content
You agree not to post User Content that:
Is offensive, abusive, defamatory, pornographic, threatening, harassing or objectionable.
Promotes discrimination, bigotry, racism, hatred, or harm against any individual or group.
Contains any malware, spyware, or other harmful content.
Violates any laws, including intellectual property rights.
In addition to the above, by using Crossingz, you agree that you will not, and you will not encourage anyone else to:

Post user content or use Crossingz in any way that violates the rights of others, including third parties in any way
Post user content or use Crossingz in any way that violates any law, laws, regulation, or regulations
Post user content or use Crossingz in any way that is misleading or deceptive
Post user content or use Crossingz in any way with the intent to commit fraud
Post use content or use Crossingz in any way that is vulgar, offensive, or pornographic
Post user content or use Crossingz in any way that includes or spreads hate speech
Post user content or use Crossingz in any way that threatens anyone
Post user content or use Crossingz in any way that promotes illegal activity, including but not limited to regulated substances, selling or distributing any stolen or counterfeit items
Post content or use Crossingz in any way that violates any entity’s copyright or trademark rights
Post content or use Crossingz in any way for any purpose that breaks any law, or to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances
Post content or use Crossingz in any way to, or to attempt to defame anyone or harm a person or group, either physically, emotionally, or both
Post content or use Crossingz in any way to sell or distribute any of the following items: alcohol, drugs including tobacco, any controlled substances, anything that is stolen or illegal, any item used for the purposes of gambling including but not limited to lottery tickets, any object used for sexual acts or directly related to sexual acts, medical supplies, “fake” or counterfeit items, weapons of any kind including but not limited to firearms and knives, anything that is illegal to ship within the United States. Crossingz reserves the right to determine whether any item is not allowed on the site or Mobile Application, even if the item is not categorized as fitting into any of the categories in this paragraph or above.
Make multiple accounts on Crossingz per user; any user must solely use their own account and not create other accounts
Use a Crossingz account that is not your own, allow or willfully permit others to use your Crossingz account or impersonate you with Crossingz
Send or distribute in any way false information, spam, advertising or promotional materials, or any other information deemed by Crossingz not applicable to Crossingz intended functionality
Send or request personal information to other users
Interfere or attempt to interfere, or encourage anyone else to interfere or attempt to interfere with the intended use or functionality of Crossingz’ Services
Mask or attempt to mask your IP address while using the app
Harvest data via any form of technological automation
Reverse engineer or copyright any part of the app or the app’s software, or copy the app in any way, for either commercial or personal use
Automate any process on the app that we do not approve
Submit false or misleading information
Upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services, third party products and services, or the Internet
Spam, phish, pharm, pretext, spider, crawl, or scrape
Bypass any restrictions Crossingz placed above
Content Removal
Right to Remove
Crossingz reserves the right to remove any User Content that violates these terms, our policies, or is otherwise objectionable at our sole discretion.
Notification
While we may attempt to notify you when your User Content is removed, we are under no obligation to do so.
Reporting Violations
Users are encouraged to report any User Content that violates these terms or any applicable laws. Reports can be made through the app's reporting mechanisms via Report User button and/or Report posts and comments in Feed, or by contacting Customer Support at info@crossingz.io
Termination of Account
Grounds for Termination
Crossingz may terminate or suspend your account if you violate these terms, our policies, or for any other reason at our discretion.
Effect of Termination
Upon termination, your right to use the app will immediately cease. Any User Content you have posted may no longer be accessible, but residual copies may remain within our systems.
Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Your continued use of the app constitutes your acceptance of the modified terms.

We define the term “user content” in the below section as any text, image, video, audio file, or any other content the user creates and shares on Crossingz. 

Copyright Infringement

Crossingz is under no obligation to make efforts to investigate notices of alleged infringement or violations of third-party intellectual property, however Crossingz respects third-party intellectual property and will make reasonable efforts to investigate and take action in regards to any infringement. If you have infringement to report, please contact support at info@crossingz.io

Crossingz is under no circumstances liable for any text, picture, or video content uploaded to Crossingz. Crossingz is not liable to anyone related to these listed actions and has the right to terminate, cancel, reverse, or remove any text, picture, or video content for any reason.

Indemnity

User agrees to defend, indemnify, release, and hold Crossingz harmless from any and all claims, including reasonable attorney fees, that arises from any user action, misuse, inaction, or use of the App, services, or anything else related to Crossingz business. 

Accounts and membership

If you create an account on the Services, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may, but have no obligation to, monitor and review new accounts before you may sign in and start using the Services. Providing false contact information of any kind may result in the termination of your account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. You may not create multiple accounts for the same user, Use a Crossingz account that is not your own, allow or willfully permit others to use your Crossingz account or impersonate you with Crossingz. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. We reserve the right to take restrictive actions, including suspend, disable, or delete your account, block your email address and Internet protocol address to prevent further registration, at Crossingz’ discretion, if we determine that you have violated any provision of this Agreement or that your conduct or content would tend to damage our reputation and goodwill. 
Backups
We are not responsible for the user content residing on the Services and are under no circumstance to be held liable for any loss of any such content. We may be able to restore partially or in totality your data that has been deleted as of a certain date and time when we may have backed up data for our own purposes. We make no guarantee that the data you need will be available.
Advertisements
We shall have no liability, obligation or responsibility for any correspondence, purchase between you and any such third party that run any promotions of advertisers or sponsors showing their goods or services through the Services. Any such activity, and any terms, conditions, warranties or representations associated with such activity, is solely between you and the applicable third party.

Your linking to any other off-site resources and social media accounts is at your own risk.

Intellectual property rights
“Intellectual Property Rights” means all present and future rights conferred by statute, common law or equity in or in relation to any copyright and related rights, trademarks, designs, patents, inventions, goodwill and the right to sue for passing off, rights to inventions, rights to use, and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, rights to claim priority from, such rights and all similar or equivalent rights or forms of protection and any other results of intellectual activity which subsist or will subsist now or in the future in any part of the world. This Agreement does not transfer to you any intellectual property owned by Crossingz or third parties, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with Crossingz. All trademarks, service marks, graphics and logos used in connection with the Services, are trademarks or registered trademarks of Crossingz or its licensors. Other trademarks, service marks, graphics and logos used in connection with the Services may be the trademarks of other third parties. Your use of the Services grants you no right or license to reproduce or otherwise use any of Crossingz or third party trademarks.
Disclaimer of warranty
You agree that such Service is provided on an “as is” and “as available” basis and that your use of the Services is solely at your own risk. We make no warranty that the Services will meet your requirements, or that the Service will be uninterrupted, timely, secure, or error-free; nor do we make any warranty as to the results that may be obtained from the use of the Service or as to the accuracy or reliability of any information obtained through the Service or that defects in the Service will be corrected. You understand and agree that any material and/or data downloaded or otherwise obtained through the use of Service is done at your own discretion and risk and that you will be solely responsible for any damage or loss of data that results from the download of such material and/or data. No advice or information, whether oral or written, obtained by you using Crossingz or through the Service shall create any warrant, including any decision you make entering a service or purchase of goods or services through the Service unless stated otherwise.
Limitation of liability
To the fullest extent permitted by applicable law, in no event will Crossingz, its affiliates, directors, officers, employees, agents, suppliers or licensors be liable to any person for any indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise.
Indemnification
You agree to indemnify and hold Crossingz and its affiliates, directors, officers, employees, agents, suppliers and licensors harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys’ fees, incurred in connection with or arising from any third party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your Content, your use of Crossingz or any willful misconduct on your part.
Changes and amendments to these terms
Crossingz has the right to change, update, or modify this Agreement and Terms & Conditions at any time, and for any reason, under Crossingz sole discretion. Crossingz is not liable to users or any third party for any modification or discontinuation of Services or Agreement. When we make changes to the Agreement or Terms & Conditions, we will revise the updated date at the bottom of this page. We may also provide notice to you in other ways at our discretion, such as through the contact information you have provided. By accessing and using Crossingz after the effective date of the revised Agreement you consent to those changes to the Agreement or its terms related to the Crossingz’ Services.

Acceptance of these terms
You acknowledge that you have read this Agreement and Terms and agree to all its terms and conditions. By accessing and using the Services provided by Crossingz you agree to be bound by this Agreement.
